Additional Terms for Online Stores

Stage provides additional features for entities that use our Services ("Store,” "Online Store," "Retailers, "Shops," "Online Shops," "you," or "your") that require additional terms or restrictions ("Additional Terms") and will provide the Services to Store following these Additional Terms.

These Additional Terms are listed below and incorporate our Terms of Service and any updates thereto (such documents, together with the Additional Terms, the "Terms"). When Stores use our Services, they also agree to all of our Terms. The terms used in these Additional Terms shall have the meanings outlined in these Additional Terms. 

Stage Sales Channel is a way to boost Store revenue through integration with Stage App and a seamless shopping experience for the customer. Stage sales channel connects to the Stage App to give Stores or Shops the best sales results from cross-promotional digital advertising with short-form videos showcasing real-life usages of their products made by social influencers.

Install Shopify Sales Channel

Under certain circumstances, you may begin using the Services to activate Stage sales channels on your Shopify store.

Activate Stage's Sales Channel will require stores to provide some information to share its products list on the Stage Mobile App.

Shop Account and Stage’s Terms

After a shop installs the Stage’s Sales Channel, it must provide some information to share its products list on the Stage Mobile App.

Right after a store profile is approved, their products will automatically be migrated to our Mobile App and made available for our Influencers to tag them in their videos, showcasing usage of the item. These will be posted inside the Stage App.

To keep Stage safe and improve our Services, we may take actions that limit your shop’s visibility, listings or that impact your payment account. In the event, a shop sees unusual order activity, or we otherwise believe that your actions or shop may result in shopper disputes, chargebacks, increased risk of fraud, counterfeiting, or other claims, Stage may take actions such as limiting visibility of your account or placing restrictions or reserves on your payments account, following our Terms of Service, including this Policy and our Privacy Policy. When appropriate and permitted by law, Stage will communicate information to the affected party about the issue.

Suppose Stage has reason to believe you, Your Content or your use of the Services violates our Terms, including this Retailer terms. In that case, we may deactivate Your Content or suspend or terminate your account (and any accounts Stage determines related to your account) and your access to the Services.

Shop Account and Stage's Terms

After a shop installs the Stage's Sales Channel, it must provide some information to share its products list on the Stage Mobile App.

Suppose Stage has reason to believe you, Your Content or your use of the Services violates our Terms, including this Store terms. In that case, we may deactivate Your Content or suspend or terminate your account (and any accounts Stage determines related to your account) and your access to the Services.

The video content published by Stage for the products displayed for the Store are not the property of said company. If the Store decides to terminate the relationship with Stage, they will not be authorized to use said content on any visible means, such as website, social media, etc. If there is any content visible, it must be removed upon contract termination.

E-Commerce Platforms

As a Store or Shop, you may be accessing the Services to create Store through a third-party "E-Commerce Platform," including Shopify. Stage and the E-Commerce Platforms are unaffiliated companies, and Stage does not influence the E-Commerce Platforms' operations. Stage and/or its Representatives shall in no way be held responsible for any losses or damages, direct or indirect, pecuniary or otherwise, resulting from any error or failure on the part of the E-Commerce Platform through which you are accessing the Services.

Fees

Upon installing Stage sales channel, you will be presented with the “Fees” that will be charged to you for the use of the Services to create and run Events. The Fees are “Transaction Fees,” a percentage of the sales from a Stage App.

The Fees displayed to you are in Canadian dollars, which may be converted to other currencies at the time of payment processing, depending on your country of origin. Fees may not include applicable taxes, which shall be displayed when your credit card is charged, depending on your location. 

By installing Stage sales channel, you agree to pay the Fees presented to you upon signing up, plus any applicable taxes.

The Transaction Fees calculate automatically once the checkout complete. The shopper credit card will be charged the amount calculated, and Shopper will receive email notification of the amount charged. By joining our sales channel, you authorize Stage to collect the amount of the Transaction Fees.

Modification of the Fees

Stage, in its sole discretion and at any time, may modify the Transaction Fees. Any Transaction Fee modification will become effective at the end of the then-current Billing Period. Stage will provide you with reasonable prior notice of any change in Transaction Fees to allow you to terminate your account before such modification becomes effective. Your continued use of the Services after the Transaction Fees modification comes into effect constitutes your agreement to pay the modified Transaction Fees.

Payments

 Payments due to Stage Platform under these Additional Terms will be made through the Shopify platform. Suppose Stage cannot do so for any reason. In that case, the Store remains responsible for any uncollected amounts, and Stage reserves the right to invoice Store, which invoices are due upon receipt. Following local law, Stage may update Store's selected payment method if provided such information by Store's financial institution.

The Store will reimburse Stage for all reasonable costs and expenses incurred (including reasonable attorneys' fees) in collecting any late payments or interest. Stage reserves the right to suspend Store's use of the Services in the event of payment delinquency or failure to abide by the third-party service provider's terms of Service.

Taxes

The Store is responsible for all sales, use, and excise taxes, and any other similar taxes, duties, and charges of any kind imposed by any federal, state, multinational or local governmental regulatory authority on any amount payable by Store to Stage hereunder, other than any taxes imposed on Stage's income. Without limiting the foregoing, in the event that the Store is required to deduct or withhold any taxes from the amounts payable to Stage hereunder, the Store will pay an additional amount so that Stage receives the payments due to it hereunder in full, as if there were no withholding or deduction.

Failure of Automatic Payment

Should automatic payment of Transaction Fees fail to occur for any reason, your account will be suspended, and Stage will issue you an electronic invoice via email indicating that you must proceed manually, within a certain deadline date, with the full payment of the Fees as indicated on the invoice. Your account will be reactivated upon receipt of the payment.

Confidentiality

You agree and understand that the Confidentiality provision in terms of Service applies to Stores, in part, to foster an open environment where Shopper and entities in the business of attempting to influence the purchase decisions of others (whether through social media or similar outlets) ("Influencers") can contact you without fear that specific comments will be quoted or attributed to them outside of the Services. Further, you acknowledge that such provisions do not create a binding obligation on the part of the owners or operators of the Services to protect the confidentiality of information posted or transmitted through the Services or to act as insurers or guarantors of or to accept liability for, the conduct of other visitors. 

Publicity

Each party will have the right to publicly announce the existence of the business relationship between the parties. Besides, during the term of your use of our Services, we may use your name, trademarks, and logos (collectively, "Store's Marks") on our Websites, Applications, and marketing materials to identify you as our Shops and to provide the Services to you.
